General

✦ | The Client must be at least 18 Years of Age to Commission work from me.

✦ | The Client understands and agrees that they are commissioning me, N I R Λ Ξ X Y (Niraexy), as the digital artist, and not any other person under a different name.

✦ | The Client acknowledges that all commissions are delivered as digital goods only. I do not offer printing, shipping, or the creation of physical items.

✦ | Commissions are provided for Personal Use only, unless otherwise agreed upon in advance.      ^{In accordance with the Rights and Limitations outlined below, the Client may not reproduce, sell, or profit from my work without a prior written agreement.}

✦ | These Terms shall be governed by the laws of Germany.      ^{Mandatory consumer protection laws applicable to the Client's country of residence remain unaffected.}

✦ | Mandatory Consumer Rights.      ^{Nothing in these Terms excludes or limits any mandatory rights that cannot legally be excluded under applicable consumer protection laws.}

✦ | Commissions are not accepted on a first-come, first-served basis.

✦ | I reserve rights to decline any Commission without giving a reason.

✦ | Weekend availability is limited. Responses to work-related messages won't be answered.

✦ | Social media posting is not guaranteed. I may or may not share commissioned works on my platforms; this should not be expected by the Client.

copyrights

✦ | I, NIRΛΞXY, reserve full Copyrights to all the Artwork I create!      ^{⋅ I reserve the right for my own use / promotional needs, such as posting WIP’s and the final Artwork to social media, including but not limited to portfolio display, redistribution, and reproduction.
      ⋅ The Artist also reserves the right to reuse any discarded sketches or cancelled commission concepts as the foundation for future artwork.}

✦ | The Client agrees to personal Use only!       ^{⋅ Don't: Claim the Art as yours!
       ⋅ Don't: The Client is strictly prohibited from removing, editing, or otherwise altering my watermark in any form.!
       ⋅ Don't: Copy or trace my work in any way.!
       ⋅ Don't: turn into NFTs or AI Generators!
       ⋅ Don't: re-sell and use to make profit of it in any way, unless paid for Commercial Use.      The commissioned artwork may not be used for AI training, machine learning datasets, image generation systems,
       NFT creation, blockchain projects, or any similar technologies without my prior written permission!}

✦ | Client is allowed to:       ^{⋅ Post the Commission on Social Platforms. Link to me for credits is required.
       ⋅ Use the artwork as your profile picture, banner, and in any other non-profit ways.
       ⋅ Create physical reproductions of the commissioned work strictly for Personal Use only (not for resale or commercial purposes).}

✦ | Purchasing artwork does not transfer copyright ownership!      Purchasing artwork does not transfer ownership of the copyright (Urheberrecht), which is non-transferable under German law.
      Instead, the Client is granted a non-exclusive, non-transferable Right of Use (Nutzungsrecht) for Personal Use only.

Any breach of the prohibitions outlined above, without the Artist’s explicit written consent, constitutes a violation of these Terms.The Artist reserves the right to immediately and permanently blacklist the Client from all future services.

Payment

✦ | Upfront payment in EURO € is generally required.      ^{⋅ Occasionally I work with partial payments, mostly on large projects and only with familiar clients.}

✦ | Payment only through PayPal.

✦ | Do not send me any kind of payment until I have confirmed I can accept your Commission.      ^{⋅ You will receive an Invoice from me, if you choose to pay through PayPal!
      ⋅ You have to provide your email you use for PayPal for me to send an invoice!}

✦ | Work begins only after full payment has been received.      ^{⋅ Failure to complete payment within 14 days may result in cancellation of the commission slot.}

✦ | I reserve the right to adjust the commission price accordingly.      ^{⋅ Commission prices are determined individually before payment.
      ⋅ Once a commission has been accepted and paid for, the agreed price will not change unless the Client requests additional work or significant modifications.}

✦ | Commissions are generally non-refundable once work has begun.      ^{⋅ Due to the highly customized nature of digital commissions, refunds are unavailable once work has begun.
      In accordance with EU/German consumer laws, the Client explicitly waives their 14-day Right of Withdrawal (Widerrufsrecht) upon confirming the order and requesting the immediate start of the service.
       ⋅ If I am unable to complete the commission, the Client will receive either a full or partial refund depending on the amount of work already completed.
       ⋅ This does not affect any mandatory rights the Client may have under applicable law.      Fraudulent or unjustified chargebacks constitute a breach of these Terms!
       I reserve the right to dispute chargebacks with the payment provider and provide evidence that the commissioned work was agreed upon and/or delivered.}

✦ | I offer rush fees for Commissions with a due date.      ^{⋅ The fee amount depends on the due date. The price will be discussed beforehand.}

COMMERCIAL USE

✦ | Commercial use of my artwork must be agreed upon beforehand!

✦ | I, as the artist, reserve full copyright of the artwork created!

✦ | I charge a one-time fee of +20% - +100% of the total price (half or double the total), depending on how it's used.      ^{⋅ Commercial fee applies but is not limited to: streaming assets, album or book covers, promotional artwork, game illustrations,
         for your business, reproducing and selling the artwork or receiving a profit.}

✦ | Privacy Option with Commercial Rights:Clients who purchase commercial rights may request that their project remain private throughout the ordering process.
In such cases, I will not stream the work, share WIPs, or post the completed project until an agreed-upon future date.

✦ | The client must provide credit to me as the artist for any public display or usage of the artwork.

✦ | The commercial use does NOT grant you the right to change or edit the commission, nor claim the artwork as your own.

Process

✦ | Commissions are only officially accepted and added to queue once they're paid.

✦ | Changes to the Commission piece can only be made during:      ^{⋅ Sketching process: You may request changes to the pose in this stage.
         Bigger or drastic changes to the pose and composition during further stages will not be accepted.
      ⋅ Flat Colors: The client will always receive a flat colored WIP to ensure colors are correct. You may request color changes during this phase.}

✦ | Client Inactivity      ^{⋅ If the Client does not respond to requests for feedback or required information for more than 30 consecutive days, the commission may be considered abandoned.
      ⋅ I reserve the right to archive or cancel the commission without refund if work has already begun.!}

Commission Timeline & Delivery

✦ | The estimated turnaround time for commissions is approximately 2 to 8 weeks.      ^{⋅ This timeframe may vary depending on the size and complexity of the project, as well as the Client’s position in the commission queue.
      ⋅ I am staying in contact with the client till the Commission is complete.
      ⋅ Delays caused by illness, emergencies, technical issues, or personal circumstances do not constitute a breach of contract.}

✦ | Upon completion, the Client will receive the final digital illustration as a PNG file, which will include my watermark.
      The watermark is NOT to be removed!

✦ | Force Majeure
      I shall not be liable for delays or failure to perform due to circumstances beyond my reasonable control, including but not limited to natural disasters,
      internet outages, power failures, serious illness, government actions, or other unforeseen events.
